Terms of Service

Welcome to NextDoorly. These Terms of Service ("Terms") govern your access to and use of the NextDoorly platform, including our website, hourly space bookings, the Roomies roommate-matching service, and the Adult Family Home (AFH) property listings service (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Who We Are

NextDoorly Inc. ("NextDoorly," "we," "us") is a Delaware corporation operating a marketplace platform. We connect guests, hosts, roommates, and prospective Adult Family Home (AFH) operators. We provide the technology that enables these connections; we are not a party to the agreements made between users, and we do not own, manage, or operate any listed property or service.

2. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract.
• You agree to provide accurate information and keep your account secure.
• Certain actions (booking, listing, messaging) require identity verification. You consent to the verification checks described in our Privacy Policy.
• You are responsible for all activity that occurs under your account.

3. Our Services

NextDoorly offers three distinct services, each with its own terms set out below:

• Hourly Space Rentals — short-term, by-the-hour bookings of apartments, houses, studios, and event spaces (Section 4).
• Roomies — a roommate-matching service that connects individuals seeking to share housing (Section 5).
• AFH Property Listings — listings of vacant, unoccupied residential properties marketed to individuals or businesses seeking to establish a licensed Adult Family Home. NextDoorly does not list occupied AFH facilities, does not facilitate care services, and has no role in any care relationship between an AFH operator and a resident (Section 6).

4. Hourly Space Rentals — Bookings & Host Approval

Every booking request is subject to host approval. A booking stays in a pending state until the host approves or rejects it. Guests are charged once a host approves the request. Hosts set their own check-in/out windows, house rules, and availability.

5. Roomies Matching Service

Roomies helps you discover potential roommates based on information you provide. You acknowledge and agree that:

• NextDoorly does not guarantee compatibility, safety, or the accuracy of any other user's profile, statements, or conduct.
• Any background check or verification feature reflects only the specific checks disclosed at the time of purchase and is not a guarantee of a match's character, criminal history, or suitability as a roommate.
• You are solely responsible for your own due diligence, in-person interactions, and decisions about whom to live with. We strongly encourage meeting in public places and independently verifying information before entering a housing arrangement.
• NextDoorly is not responsible for any dispute, harm, loss, or damage arising from a roommate relationship formed through the Services.

6. AFH Property Listings

AFH Property Listings are limited to vacant, unoccupied residential properties marketed to prospective Adult Family Home operators. NextDoorly is not involved in, and this section does not apply to, the operation of any licensed care facility or any relationship between a care provider and a resident.

• No licensing representation. NextDoorly does not verify, warrant, or represent that any listed property is, or can become, eligible for Adult Family Home licensing under RCW 70.128 or any applicable state law. Zoning, fire and life-safety code compliance, DSHS (or equivalent agency) approval, and all other licensing requirements are the sole responsibility of the buyer or lessee to independently verify before purchase or lease.
• Listing accuracy. Property specifications (square footage, room count, bathroom count, and similar details relevant to AFH licensing capacity) are provided by the lister and are not independently verified by NextDoorly.
• Not a real estate broker. NextDoorly is not a licensed real estate broker in any state and does not provide legal, financial, or licensing advice regarding any AFH property transaction. We strongly recommend engaging a licensed real estate professional and reviewing state AFH licensing requirements before entering any transaction.

7. Fees, Commission & Payments

NextDoorly charges hosts a platform commission of 15% on the total value of each completed hourly-rental booking. The host receives the remaining 85% as their payout. The commission is deducted automatically from the host's earnings. Guests pay the listed price and are not charged a separate platform fee on top of it.

• Payments are processed securely through Square. NextDoorly does not store card details.
• Host payouts are calculated on completed bookings (gross amount, less the 15% commission) and disbursed on a weekly basis to the host's configured payout method.
• Other paid features (for example, Roomies Pro subscriptions, listing boosts, AFH listing placements, and background checks performed by SearchBug, Inc.) are billed at the prices shown at the point of purchase.
• AFH Property Listings are not subject to the hourly-rental commission structure. Any fee for listing, featuring, or facilitating an AFH property transaction will be disclosed separately at the point of listing or purchase.

8. Cancellations & Refunds

Cancellation and refund eligibility for hourly rentals depend on the host's cancellation policy shown on the listing and at checkout. Approved refunds are returned to the original payment method. AFH property transactions and Roomies subscription fees are governed by the refund terms disclosed at the time of purchase.

9. Host & Lister Obligations

• Listings must be accurate, lawful, and for spaces or properties you are entitled to offer.
• Hosts must set up a valid payout method before a listing can be activated.
• Hosts and listers are solely responsible for determining and remitting any applicable taxes on their listings, including state and local lodging, occupancy, sales, or real estate transfer taxes, except where NextDoorly is legally required to collect and remit such taxes as a marketplace facilitator, in which case NextDoorly will disclose this at checkout.

10. Prohibited Conduct

You agree not to misuse the Services, including by posting false information, circumventing fees, harassing other users, attempting to bypass identity or safety checks, misrepresenting a property's AFH licensing eligibility, or using the platform for any unlawful purpose.

11. Reviews & Content

You are responsible for content you submit, including reviews and messages. You grant NextDoorly a license to display that content on the platform. We may remove content that violates these Terms. Do not include sensitive personal or health-related information about yourself or others in messages, reviews, or listings unless necessary and appropriate to the context.

12. Background Checks & Consumer Reports

If you purchase or request a background check through the Services, the check is performed by SearchBug, Inc., an independent third-party consumer reporting agency. NextDoorly is not the consumer reporting agency and does not itself compile or maintain the report. Where required by the federal Fair Credit Reporting Act (FCRA) or applicable state law:

• You will receive a separate disclosure and must provide written authorization before any consumer report is obtained about you or, where permitted, about another user.
• If information in a report is used to take an adverse action (for example, declining a match or listing), the affected individual will receive notice, a copy of the report, and a summary of their rights under the FCRA, along with an opportunity to dispute inaccurate information.
• NextDoorly does not guarantee the accuracy or completeness of any report provided by SearchBug or any other third-party consumer reporting agency.
• To request a background check, you will be directed to SearchBug's own disclosure and authorization flow. SearchBug's handling of your information is also subject to SearchBug's own privacy policy and terms, in addition to NextDoorly's.
• Disputes about the accuracy of a SearchBug report should be directed to SearchBug directly, using the dispute process SearchBug provides with the report; NextDoorly will also assist in good faith upon request.

13. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEXTDOORLY IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, THE CONDITION OF ANY PROPERTY, THE OUTCOME OF ANY ROOMMATE ARRANGEMENT, OR THE LICENSABILITY OF ANY AFH PROPERTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless NextDoorly and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Services, your listing or property, your violation of these Terms, or your violation of any law or third-party right, including claims arising from a property's failure to meet AFH licensing requirements or from a Roomies match or arrangement.

15. Taxes

Except where NextDoorly is required by law to collect and remit tax as a marketplace facilitator, you are solely responsible for determining, collecting, and remitting any taxes applicable to your use of the Services, including lodging, occupancy, sales, use, or real estate transfer taxes in your jurisdiction. NextDoorly's tax collection obligations may vary by state and will be disclosed where applicable at checkout.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, without regard to the state in which you reside or use the Services.

• Notice and informal resolution. Before filing an arbitration or lawsuit, you and NextDoorly each agree to first send a written description of the dispute to the other party (to NextDoorly at support@nextdoorly.us) and allow 60 days for the parties to attempt to resolve the dispute informally. Neither party may commence arbitration until this notice-and-cure period has run.
• Arbitration agreement. Except for disputes that qualify for small claims court or claims involving intellectual property or where prohibited by law (for example, certain sexual harassment or sexual assault claims under applicable federal or state law), you and NextDoorly agree to resolve any dispute arising out of or relating to these Terms or the Services through binding individual arbitration, rather than in court.
• Right to opt out. You may opt out of this arbitration agreement by sending written notice to support@nextdoorly.us within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor NextDoorly will be required to arbitrate disputes with each other, and both parties retain the right to bring claims in court, subject to Section 16's choice of Delaware law and venue.
• Class action waiver. You and NextDoorly agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.
• Venue. Arbitration will be seated in Delaware, or another mutually agreed location, and administered under the rules of a recognized arbitration provider (e.g., AAA).

17. Termination

We may suspend or terminate accounts that violate these Terms. You may stop using the Services and delete your account at any time.

18. Intellectual Property & DMCA

The NextDoorly platform, including its design, text, graphics, and software, is owned by NextDoorly or its licensors and protected by intellectual property laws. If you believe content on the Services infringes your copyright, send a notice to our designated agent at support@nextdoorly.us including the information required under the Digital Millennium Copyright Act.

19. Force Majeure

NextDoorly is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or utility failures, or other events of force majeure.

20. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and continued use of the Services constitutes acceptance.

22. Relationship of the Parties

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between NextDoorly and any user, host, roommate, or lister. Hosts and listers operate as independent providers of their own space, property, or listing, and are not employees, agents, or representatives of NextDoorly for any purpose, including for purposes of workers' compensation, unemployment insurance, or employment tax withholding. Nothing here is intended to, or does, create rights for third parties.

23. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. NextDoorly may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, financing, or sale of some or all of its assets.

24. Entire Agreement & Waiver

These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and NextDoorly regarding the Services, and supersede any prior agreements on the subject. No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right, and a waiver on one occasion will not be treated as a waiver of the same or any other provision on any other occasion.

25. Electronic Communications

By using the Services, you consent to receive communications from NextDoorly electronically, including by email, text message, push notification, or postings on the Services, and you agree that all such communications satisfy any legal requirement that they be in writing.

26. Survival

Sections 13 (Disclaimers & Limitation of Liability), 14 (Indemnification), 15 (Taxes), 16 (Governing Law & Dispute Resolution), 18 (Intellectual Property & DMCA), 22 (Relationship of the Parties), and this Section 26, along with any other provision that by its nature should survive, remain in effect after your account is terminated or you stop using the Services.
